The SAVI Capital Model™ under RIGI: Deployment Before Statute. A Private Equity Fund under Argentina's Régimen de Incentivo para Grandes Inversiones: the Vehicle, the Investors, the First Tranche and the Law to Come
On November 2, 2026 Argentina's RIGI register held 27 approved projects for USD 76,173 million, 96.9% of it in oil, gas and mining, and none of their vehicles is owned by a fund. The regime's floor is USD 200 million per project under Ley 27.742 art. 173, the one reduction on the record took offshore oil and gas from USD 600 million to that floor by Decreto 105/2026, and the window for new adhesions closes on July 8, 2027. This paper argues that a regime written for capital-only megaprojects can host The SAVI Capital Model today, through the charter of each vehicle, the plan each company adopts for its workforce and the fund documents that bind them, and that the price is paid by the investor in a known amount. Of each USD 100 of profit before the Human Capital Pool, the Model shareholder keeps 35.74 in the paper's base case, with the Pool's deduction disallowed and social-security contributions charged on the whole of it, the workforce's half carrying its own charges, against 69.75 in a conventional RIGI company; every saving against that base is shared equally between the workforce's gross Pool and the shareholder's net income. On a USD 300 million fund of three vehicles exited in year 10, the limited partners receive 2.02x and 9.0% against 2.80x and 14.0%, on a waterfall without a catch-up. Two terms sit under that row with the fifty-fifty on profit untouched: a commercial class paid first to a stated return of 10.0% or 12.0% while a catalytic class receives 8.1% or 5.8%, and a Minimum Return to Capital of 2.0 times invested equity at the exit (Tables F3 and F1c). The paper designs the Fund's vehicles for capital from the United States, the European Union and the United Arab Emirates, with no Argentine holding between them and any vehicle, sets the first tranche inside the calendar across three tracks, governs the AI systems inside each company ahead of any law, reads the Súper RIGI and the RIIR as the bills they are, and names what would make it wrong; The SAVI Group offers the design, names no manager, and promises no return. Third paper of the series. The Model's specification is The SAVI Capital Model™: Reform Before Rupture (DOI 10.5281/zenodo.23249969); its sovereign application is The SAVI Capital Model™: Conversion Before Default (DOI 10.5281/zenodo.23703653).
