Instruments for integrating social responsibility into corporate governance of Ukrainian enterprises

This article examines the tools for integrating social responsibility into the corporate governance system of Ukrainian enterprises, taking into account military risks, resource constraints, and changes in the European regulatory environment. The study aims to justify a management approach in which social responsibility is not limited to charitable initiatives and public declarations but influences strategic decisions, the distribution of authority, human resources management, procurement, and risk assessment. The methodological framework consists of systemic and institutional approaches, a comparative analysis of scholarly works by Ukrainian authors, a review of international recommendations, and structural-functional generalization. The study distinguishes corporate philanthropy, socially responsible behavior, and the management of a company’s material impacts on employees, partners, communities, and the environment. The study proposes a sequence for integrating responsibility into the management cycle, including identifying material impacts, designating responsible individuals, incorporating measures into budgets and operational processes, verifying results, and adjusting decisions. Corporate management tools are systematized by purpose, and a matrix for verifying the relevance of non-financial indicators is proposed. The study argues that managerial effectiveness in social responsibility should be assessed not by the number of measures implemented, but by the enterprise’s ability to mitigate negative impacts, fulfill obligations, and ensure transparent feedback with stakeholders. The study examines how risk-based due diligence, budgeting, and managerial accountability fit within the corporate governance system. It establishes that integrating these tools creates the conditions for aligning managerial decisions with the principles of social responsibility. The paper supports the feasibility of applying the proposed tools in enterprises of various sizes, considering their organizational and resource characteristics, without mechanically applying requirements established for large international companies. Keywords: corporate governance, corporate management, corporate social responsibility, sustainable development, risks, enterprises, business, competitiveness.
