TANGGUNG JAWAB DIREKSI TERHADAP KEPAILITAN STARTUP TEKNOLOGI DITINJAU DARI UNDANG-UNDANG PERSEROAN TERBATAS DAN UNDANG-UNDANG KEPAILITAN BERDASARKAN PRINSIP FIDUCIARY DUTY DAN BUSINESS JUDGMENT RULE

The legal liability of directors in cases of technology startup bankruptcy in Indonesia, with a focus on the application of the principles of fiduciary duty and the business judgment rule in corporate law. The rapid growth of technology startups, accompanied by high levels of uncertainty and business risk, has made bankruptcy a relatively common phenomenon; however, this does not necessarily constitute directorial misconduct. This study also aims to analyze the legal framework and the scope of directors’ liability in the bankruptcy of technology startups based on Law No. 40 of 2007 and Law No. 37 of 2004. The research method used is normative legal research employing a statutory approach and a conceptual approach through an examination of relevant laws and regulations, legal doctrines, and scholarly literature. The results of the study indicate that the management of the company was conducted in good faith, with due care, free from conflicts of interest, and based on adequate information.
