FRESH 2008 – What Exactly Was the Object?
FRESH 2008 examines a structured financial product whose economic properties were created not by a single contract, but by a network of interconnected legal and financial relationships. The study follows the structure from its original construction and prudential treatment through later contractual changes, disputes and litigation. Its central question is how the relevant object should be defined when legal rights, economic effects and risk are distributed across several components and relationships. The analysis also considers what happens when parts of such a structure are altered or removed, and how the assessment of the resulting position depends on the information available to different participants. FRESH is used as a case study in the broader problem of understanding structured financial products when the visible contractual position may not reveal the whole economic object.
