Withholding Tax, No Longer at Source: The Anticipated Distributive Effects of the Taxation Omnibus’s Withholding Tax Reform

In this article, the author examines the withholding tax provisions of the European Union’s Taxation Omnibus proposal, tracing how the removal of the Interest and Royalties Directive (2003/49) (IRD) and Parent-Subsidiary Directive (2011/96) shareholding threshold was drafted, consulted on and justified. The article shows that the process behind the removal of the threshold does not match the scale of its impact and that beneficial ownership survives as the sole remaining substantive safeguard under the IRD, now verified only following payment. It further shows that the fiscal consequences are far from uniform. Depending on the investor and mechanism involved, the reform can reallocate tax revenue between Member States, leave the total burden unchanged or genuinely reduce it. The Commission’s own aggregate, EU-wide figures do not capture this variation.
