Suomalaisen startup-yrityksen verotehokas Delaware Flip HE 125/2025 toimeenpanon jälkeen : Yritysverotusanalyysi rajat ylittävistä yritysjärjestelyistä sekä esimerkki käytännön toteutuksesta
This thesis inspects the feasibility for Finnish startup companies to conduct a tax-neutral Delaware Flip given the changes introduced in HE 125/2025. Delaware Flip means an operation where a non-US-originating company moves its parent company into United States, usually to get access to US-based venture capital and other investment vehicles. Prior to HE 125/2025, executing a Delaware flip in Finland was a time-consuming and complex process as it was possible to conduct via a merger, or a complicated chain of share exchanges using another EU/EEA country as an intermediary. The thesis adopts a doctrinal legal research approach covering the updated statutes in the Law on taxation of business income (EVL, 360/1968) as well as respective positions of both EU and selected US legislation. The analysis begins by introducing the Finnish regime on tax-neutral cross-border reorganizations prior to HE 125/2025 changes, including key SAC rulings of that time. The key conditions (existence of a tax-treaty, minimum acceptable level of corporate taxation and comparability of the foreign company form) enabling third-country tax-neutral exchanges of shares specified in HE 125/2025 are introduced and applied against performing the share exchange with a US-based C-corporation. The compatibility of the newly introduced Finnish regime with key EU constraints regarding freedom of establishment and free movement of capital is assessed to ensure the compatibility of the new approach with EU law. The thesis complements the research by operationalizing the doctrinal findings with a practical implementation blueprint for exploring a tax-neutral Delaware flip by a Finnish VC-funded startup company, based on a constructed, but realistic fact pattern. The thesis concludes with the observation that executing a tax-neutral, share-exchange-based Delaware flip has become well within the reach of Finnish startups, as it is not prohibitive either by its schedule or its cost.
