What Does It Take to Protect Capital in the Age of AI? The Four Conditions of Protected Capital

Abstract This paper examines the accountability gap emerging as artificial intelligence becomes embedded in institutional investment decision-making, and proposes a framework for closing it. Drawing on a 2026 survey finding that ninety-two percent of directors have personally used AI for board-related work while sixty percent of their boards have no formal governing policy, the paper argues that most current AI governance amounts to what it terms vibe governance, the appearance of oversight without the capacity to demonstrate it under scrutiny. In response, the paper introduces the Four Conditions of Protected Capital: Independence, Persistence, Specificity, and Consequence, a framework independently converged upon in 2026 by a national AI regulator, a major technology company's internal engineering practice, and a leading investment professional body, despite no coordination between them. The paper applies this framework to three distinct institutional settings, family office succession planning, the General Partner-Limited Partner relationship in investment funds, including a newly identified risk termed cognitive convergence, and private equity Investment Committee diligence, drawing on documented cases and current regulatory developments in each. The paper concludes with a practical action matrix and policy checklist, and a discussion of the boundary between what AI-assisted governance can achieve and where human judgment and accountability remain irreducible.
