Порядок та особливості створення венчурних корпоративних фондів за українським законодавством

The article describes the legislative procedure and peculiarities of establishment of venture corporate funds under Ukrainian law. The author emphasises that the use of venture corporate funds in real estate sales models has existed in the real estate market for many years, as they have a number of tax advantages for real estate sellers. With recent changes to the legal regulation of these legal relations, the legislator has attempted to unify the models of attracting investment in the construction of residential real estate and excluded collective investment institutions from the previously permitted investment methods. However, since this investment scheme allows Ukrainian developers to significantly optimise their tax burden, it has not disappeared from the real estate market, but has only undergone certain changes. That is why collective investment institutions, despite everything, remain a popular and dominant mechanism in the process of attracting investments for real estate construction. Given this, the process and peculiarities of establishing venture corporate funds as one of the possible types of raising funds in the construction process through collective investment institutions is a relevant issue. At the same time, the author emphasises that the process of establishing a venture capital corporate fund is long and complex, and requires consistent compliance with the stages of such fund establishment. Violation of this sequence will be the basis for refusal to register the fund in the Unified State Register of UCITS by the National Securities and Stock Market Commission. The study of the legal regulation of the process and peculiarities of establishment of venture capital corporate funds under the laws of Ukraine is of practical importance and is primarily necessary for future founders of such funds to know the process perfectly and avoid mistakes in the process of fund establishment, which may negatively affect the already lengthy registration process. In addition, the materials of this study may be useful and used for educational purposes by students of law and economics.
