Promena pravne forme u svetlu shodne primene odredbi o statusnim promenama

This paper analyzes the provisions of the Companies Act related to statutory changes, which are applied mutatis mutandis to the change of legal form of companies. The primary objective of the paper is to examine how the provisions regulating statutory changes can be applied to the change of a company’s legal form, as well as the legal and practical implications arising from such application. The conclusion indicates that, to some extent, the provisions on statutory changes are significant for the implementation of the change of legal form procedure and for protecting all parties involved. However, certain limitations and ambiguities exist in their application. It remains for the legislator to more precisely regulate this issue through future amendments to the law, adapting it to the legal nature and logic of the change of legal form.
