Directive (EU) 2025/25 as regards further expanding and upgrading the use of digital tools and processes in company law: a user’s guide to its implementation
Directive (EU) 2025/25 introduces important innovations in the digitalisation of company law. After a brief analysis of the evolution of the legal framework on which this initiative is based, the article investigates the most relevant aspects of the Directive, also with a view of facilitating its transposition into our legal system, trying to clarify the objectives pursued by the EU legislator and the reasons for the formulation of some of the new provisions. More specifically, the following pages examine (a) the new publication requirements imposed on groups of companies and partnerships, (b) the strengthening of the framework for the checks required for the filing of documents and information in business registers and for the formation and amendment of instruments of constitution and statutes, (c) the introduction of new tools and simplifications to facilitate the use of business register data and (d) the new rules for the cross-border use of business register data through the BRIS (Business Register Interconnection System). The last part of the article discusses the modalities of cross-border access and exchange of information held in business registers, focusing in particular on the question of the evidentiary value of the information and data exchanged or made available through BRIS.
