Partnerships under the Directive (EU) 2025/25
This paper analyses the main innovations introduced by Directive (EU) 2025/25, commonly referred to as Digitalization II, concerning the regulation of partnerships. After outlining the directive’s evolutionary path, the study delves into its scope of application, highlighting the extension of legal disclosure obligations to Italian società in nome collettivo and società in accomandita semplice (partnership and limited partnership), examining the data and documents subject to disclosure. The issue of legality controls is also addressed, assessing their impact on national practice, as well as some critical remarks are offered on the directive’s limits, questioning the future prospects for harmonizing partnership law at European level.
