The Registration Path for Removing the Nominal Legal Representative after the Implementation of the New “Company Law”

2024年12月20日，国家市场监督管理总局发布了《公司登记管理实施办法》，自2025年2月10日起施行。该办法是为落实《中华人民共和国公司法》(以下简称“新《公司法》”)以及新出台的《国务院关于实施〈中华人民共和国公司法〉注册资本登记管理制度的规定》中有关公司登记制度的要求，针对司法实践涉及公司涤除登记判决面临的执行僵局难题，明确了公司有义务配合变更法定代表人的身份性质的登记备案事项，公司登记机关亦有义务协助执行并进行公示。本文将在上述新规背景下，结合法定代表人涤除登记的产生背景、司法裁判规则分析出切实可行的涤除路径，并指出新规对实践中涤除判决执行僵局的破解提供了保障。On December 20, 2024, the State Administration for Market Regulation issued the “Implementation Measures for Company Registration Management”, which came into effect on February 10, 2025. This method is to implement the requirements of the “Company Law of the People’s Republic of China (hereinafter referred to as the “new Company Law”) and the newly issued “Provisions of the State Council on the Implementation of the Registered Capital Registration Management System of the Company Law of the People’s Republic of China” regarding the company registration system. In response to the difficulties faced by judicial practice in clearing registration judgments involving companies, it clarifies that companies have an obligation to cooperate with the registration and filing matters of changing the identity of the legal representative, and the company registration authority also has an obligation to assist in execution and make public announcements. This article will analyze the practical and feasible path of de-registration for legal representatives in the context of the new regulations mentioned above, combined with the background of the emergence of de-registration for legal representatives and judicial judgment rules. It will also point out that the new regulations provide guarantees for resolving the deadlock in the execution of de-registration judgments in practice.
