Legal requirements for an individual as a founder (participant) of a business association
The article is devoted to the analysis of legal requirements for an individual as a participant (founder) of a business association. General provisions regarding the possibility of individuals becoming participants in such associations are defined, and restrictions that may be established in legislation and the constituent documents of business associations are outlined. The article substantiates that an individual may acquire the status of a participant in a business association, provided they have the necessary scope of civil legal capacity and fulfill the legislative requirements regarding contributions to the association’s authorised capital. The participation of minors, individuals with limited civil legal capacity, and persons declared legally incompetent by a court in business associations is analyzed. It is noted that the limitation of legal capacity does not constitute grounds for losing participant (founder) status; however, such individuals cannot independently exercise their corporate rights. The impact of the imposition of sanctions on an individual participant of a business association is examined. It is determined that the sanction of «asset blocking» does not deprive an individual of the status of a participant (founder) of a business association but restricts their ability to dispose of their share in the authorised capital and exercise corporate rights. It has been established that an individual subject to sanctions may face difficulties in acquiring a share in the authorized (shared) capital of a new business association, as asset blocking prevents the use of funds and other assets for relevant transactions. However, such an individual may still be a founder of a business association if their contribution to the authorized (shared) capital is made within the scope of permitted assets or during a grace period. At the same time, the sanction of «seizure of assets in favor of the state» may lead to the loss of ownership rights to a share in a business association, effectively depriving the individual of participant status. Attention is drawn to the issue of participation in business associations by individuals recognized as missing or declared missing under special circumstances. The peculiarities of the exercise of corporate rights by such individuals through guardians over their property are analyzed. The article substantiates the necessity of enshrining clear legal requirements for individual participants of business association in legislation, as well as clarifying the mechanisms for exercising corporate rights in cases of restricted legal capacity or the imposition of sanctions.
