Insurance of financial risks after companies’ M&A (Summary in English)
The reasons for mergers and acquisitions between companies are primarily found in the commercial pursuit of corporate growth and development on the market. When concluding a contract on a status change, some significant facts may be unknown or undisclosed to the buyer, which can result in a sudden financial loss for him. In this paper, we consider the concept of mergers and acquisitions and some of the reasons for status changes and an overview of the decisive characteristics that distinguish transaction insurance from directors’ and officers’ liability insurance. Besides, we analyze the concept and reasons for concluding transaction insurance, the characteristic duties of the insured and the specific excluded risks in this type of insurance. We conclude this is a type of insurance whose prevalence depends on the level of economic development and competition in the market, and that the essential differences between this and directors’ and officers’ liability insurance arise from the different interests for which they are agreed.
