Theoretical and legal aspects regarding the rights of shareholders in joint stock companies
Joint-stock companies represent one of the most complex legal forms of business organization. In such a structure, shareholders play an essential but indirect role in the administration of the company. Although they are not directly involved in the company’s daily activities, they hold certain rights and responsibilities that significantly influence the strategic decisions and overall direction of the business. These strategic decisions have a profound impact on the long-term direction and development of the company. Another significant aspect is the influence exerted by majority shareholders, who hold substantial shares and, therefore, may have considerable control over the company’s decisions. They can dictate certain strategic directions, negotiate alliances and partnerships, and, in some cases, even determine changes in corporate policy. An additional relevant aspect of the shareholders’ role is the balance between the interests of majority and minority shareholders. In many jurisdictions, legislation provides protections for minority shareholders to prevent abuses by those holding majority stakes. Through their participation in general assemblies and by exercising their voting rights, minority shareholders can contribute to the transparency and accountability of the company’s management. Shareholders are entitled to participate in the economic benefits generated by the company, primarily in the form of dividends. Additionally, shareholders can obtain economic benefits by selling their shares on the capital market if their value has increased over time. The value of shares is influenced by the company’s performance and investors’ perception of its future, thus providing shareholders with an incentive to support efficient company management.
