Reveal or Conceal: Should Executives Know (Or Care) About Digital Era Proxy Statement Disclosures?
Annual corporate proxy statements are too often overlooked as perfunctory regulatory filings loaded with boilerplate minutiae. To the contrary, they can spotlight “hidden-in-plain-view” risks of incentives, indifference and incompetence. Are senior leaders matched for digital era opportunities or are they de facto entrenched organizational oligarchs imperil companies as they leverage wealth, prestige and network building access and opportunities? Read thoroughly, proxies reveal much about board priorities, executive motivations and governance credibility—or lack thereof. The real question is do stakeholders (as well as senior leaders themselves) care enough to read the fine print - or worse, what’s on full display in the large print?
