Good Faith and Reasonableness in the Mechanism of Subsidiary Liability of Controllers
The purpose of the article is to identify the content and role of good faith and reasonableness in the mechanism of subsidiary liability of controlling persons. The author defines the mechanism for assessing violations of the principle of good faith in the relationship of obligations as a ʻsubstituteʼ element of the composition of a civil offense. As a result, the need to distinguish between good faith and reasonableness for the purpose of bringing controlling persons to subsidiary responsibility is justified.
