Contratos atípicos limitadores de riscos em operações societárias: estudos dos modelos de opção de compra e opção de venda
This article discusses the use of call and put option contracts in mergers and acquisitions of companies. Such contracts are used as mechanisms to limit the risks arising from the acquisition, in such a way that their use is quite usual and is based on the contractual freedom of the parties involved. For a better understanding of this model, the article addresses the appropriate time to apply these options, the corporate types in which they can be used and their functionalities, delving into the theoretical premises that underlie the referred contract, as well as analyzing practical examples that illustrate the use and forms of application of the referred contract. As a methodology, the article will follow a inductive reasoning, with general and theoretical premises that support the concrete analyses that will be carried out and the conclusions presented at the end of the study.
